Terms of Service

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Nature of the Service

Poker Stacks is a recordkeeping and session-management tool designed to help users organize poker groups, track sessions, record buy-ins and results, and calculate settlement suggestions. Poker Stacks is not a casino, gambling operator, sportsbook, payment processor, financial institution, or escrow service. We do not host wagers, hold player funds, guarantee payments between users, or verify the legality of any activity conducted by users. You are solely responsible for ensuring your use of the Service complies with all laws and regulations that apply to you.

3. User Accounts

To access certain features, you may need to create an account. You agree to:

• Provide accurate and current information
• Maintain the security of your login credentials
• Keep your password confidential
• Promptly notify us of unauthorized access or suspected security issues

You are responsible for all activity that occurs under your account.

4. User Content

You may submit, upload, create, or store content through the Service, including names, photos, match records, group records, and other materials ("User Content"). You retain ownership of your User Content. However, by submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process that content solely as necessary to operate, maintain, and improve the Service. You are solely responsible for your User Content and represent that you have the rights necessary to provide it.

5. Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or third-party right
• Use the Service for unlawful gambling or any illegal activity
• Impersonate another person or misrepresent your identity
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or servers
• Attempt unauthorized access to accounts, systems, or data
• Scrape, copy, reverse engineer, or exploit the Service except as permitted by law
• Upload content that is defamatory, abusive, obscene, infringing, or otherwise unlawful

6. Settlements and Calculations

The Service may provide automated calculations, including settlement suggestions, win/loss summaries, and statistics. These outputs are provided for convenience only. You are responsible for reviewing all entries and calculations before relying on them. We do not guarantee that any calculation, balance, or settlement output is error-free, complete, or suitable for your specific situation.

7. Shared Groups and Match Data

If you create, join, or participate in groups, matches, or leaderboards, certain information may be visible to other users with access to those features. You are responsible for what you choose to share with others through the Service.

8. Intellectual Property

The Service, including its software, branding, design, text, graphics, features, and other content, is owned by or licensed to Poker Stacks and is protected by applicable intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

9. Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation to you.

10. Third-Party Services

The Service may rely on or integrate with third-party services, hosting providers, analytics providers, storage providers, or infrastructure vendors. We are not responsible for third-party services, websites, or content beyond our reasonable control.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POKER STACKS AND ITS OWNERS, OPERATORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Poker Stacks and its owners, operators, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any law or third-party rights

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Service, users, or third parties. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and dispute-related terms.

15. Governing Law

These Terms will be governed by applicable laws, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be resolved in the appropriate courts, and you consent to their jurisdiction and venue.

16. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last Updated" date above. Continued use of the Service after updated Terms become effective means you accept the revised Terms.
